These Terms and Conditions (“Referral Terms“) govern participation in the B2Bpay Referral Program (the “Program“), operated by Zenpay Pty Ltd (ABN 63 056 881 942)  part of the Zenith Payments group, trading as B2BPay (“B2Bpay“, “we“, “us“). By generating, sharing, or using a referral link, or by signing up via a referral link, you agree to these Referral Terms in addition to the B2Bpay Terms of Service and Privacy Policy (together, the “Platform Terms“).  

1. Eligibility

1.1. To participate as a Referrer, you must: 

• hold an active, verified B2Bpay business account in good standing; 

• have completed B2Bpay’s KYC onboarding requirements; and 

• not be in breach of the Platform Terms at the time points are earned or redeemed. 

1.2. To qualify as a Referee (the referred business), the business must: 

• be a new B2Bpay customer that has not previously held a B2Bpay account 

• sign up using the Referrer’s unique referral link or code; and 

• complete B2Bpay’s onboarding and KYC verification. 

1.3. Excluded participants. The following are not eligible to participate, refer, or be referred under the Program: 

• B2Bpay employees, contractors, and their immediate family members; 

• businesses under common ownership or control with the Referrer, or sharing a director, ABN, beneficial owner, or registered address with the Referrer; 

• any business B2Bpay reasonably determines is being referred for the purpose of manipulating or exploiting the Program. 

1.4. B2Bpay may set additional eligibility criteria (e.g. geographic restrictions, account type) from time to time, which will be published on the referral page or notified to participants. 

2. How the Program Works

2.1. An eligible Referrer receives a unique referral link via their B2Bpay dashboard, which can be shared directly, via email, or via supported social channels (e.g. LinkedIn, WhatsApp, Facebook). 

2.2. A Referee signs up for a B2Bpay account using that link, and completes onboarding. 

2.3. Standard Referral Reward. Both the Referrer and the Referee will each earn 5,000 B2B Points when: 

• (a) the Referee’s account is successfully onboarded and verified; and 

• (b) the Referee processes a cumulative total of AU$10,000 in qualifying payments through their B2Bpay account within 90 days of the date their account is opened (the “Qualifying Period“). 

2.4. Qualifying payments means payments made or received by the Referee that have successfully settled through the B2Bpay platform, excluding any amount later refunded, reversed, disputed, or charged back, and excluding transfers between accounts held by the Referee or a related entity. 

2.5. If the Referee does not reach the AU$10,000 threshold within the 90-day Qualifying Period, no reward is payable to either party for that referral, and the referral will not count toward Milestone Bonuses under clause 3, unless B2Bpay determines otherwise at its discretion. 

2.6. Points are typically credited to both accounts within 14 business days of the Referee satisfying clause 2.3. B2Bpay may withhold or delay crediting points while it reviews a referral for compliance with these Referral Terms.

3. Milestone Bonuses

3.1. In addition to the per-referral reward in clause 2.3, Referrers earn a one-off Milestone Bonus the first time their number of qualifying referrals (i.e. referrals that have satisfied clause 2.3) reaches each of the following thresholds: 

3.2. Milestone Bonuses are cumulative and paid once per tier, per Referrer. They are not repeated if the Referrer continues referring beyond 20. 

3.3. Only qualifying referrals (per clause 2.3) count toward milestone thresholds. A referral that has not yet met the AU$10,000/90-day threshold is not counted until it does.

4. Points-Value, Use, and Expiry 

4.1. B2B Points earned under this Program form part of the B2Bpay Points/Rewards program and are subject to the B2Bpay Terms & Conditions, including as to how points can be redeemed and expiry. 

4.2. B2B Points expire 18 months from the date they are credited, unless stated otherwise. 

4.3. Points have no cash value, are not transferable between B2Bpay accounts, cannot be sold or exchanged for cash, and do not constitute a financial product, deposit, or security. 

5. Program Changes, Suspension, and Termination

5.1. B2Bpay may, at its sole discretion and at any time, without liability to any participant: 

• modify the reward amounts, thresholds, Qualifying Period, or Milestone tiers described in these Referral Terms (on a prospective basis – changes will not reduce points already earned and credited); 

• suspend or terminate the Program in whole or in part; 

• suspend or terminate an individual participant’s ability to participate.

5.2. Material changes will be notified via the B2Bpay dashboard, email, or by updating this page with a new “last updated” date, and will take effect from the date specified in the notice. 

5.3. B2Bpay may withhold, reclaim (claw back), or cancel points where it reasonably believes: 

• the referral was fraudulent, artificial, self-referred, or otherwise designed to circumvent the intent of the Program; 

• the Referee’s payments were reversed, refunded, disputed, charged back, or otherwise fail to meet the definition of qualifying payments after points were credited; 

• either party has breached the Platform Terms or these Referral Terms; or 

• the referral involved a business ineligible under clause 1. 

6. Compliance, Fraud, and Anti-Abuse

6.1. Participants must not engage in fraudulent, misleading, or abusive conduct in connection with the Program, including but not limited to: fake or duplicate sign-ups, circular/self-referrals, use of bots or automated sign-up tools, or structuring payments solely to reach the AU$10,000 threshold without genuine commercial purpose. 

6.2. B2Bpay may conduct reviews of referral activity at any time, including after points have been credited, and may reverse points or restrict Program access where abuse is identified. 

6.3. Referral rewards remain subject to B2Bpay’s standard AML/CTF, KYC, and fraud-monitoring obligations as a regulated payments provider. Nothing in these Referral Terms overrides B2Bpay’s compliance obligations under applicable law.

7. Liability

7.1. To the maximum extent permitted by law, B2Bpay is not liable for any loss or damage arising from a participant’s inability to earn, redeem, or use points, including due to technical issues, referral link errors, delays in crediting, or Program changes. 

8. General

8.1. No agency. Nothing in the Program creates a partnership, agency, joint venture, or employment relationship between B2Bpay and any participant. 

8.2. Entire agreement. These Referral Terms, together with the Platform Terms, constitute the entire agreement between B2Bpay and participants regarding the Program.
